Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and DKL DESIGN, operated by Jespect Solder, located at 3183 Wilshire Blvd Ste 196Q, Los Angeles, CA 90010-1280, United States. By accessing or using our website and services, you agree to be bound by these terms. If you do not agree with any part of these terms, you must not use our services.

Services Description

DKL DESIGN provides professional computer systems design and related technical services, including but not limited to:

• Computer integrated systems design and implementation
• Technical consulting and advisory services
• Scientific and technical professional services
• System architecture and engineering services
• Management and technical consulting
• System maintenance and support services

The specific scope, deliverables, and terms of each engagement will be defined in separate service agreements or statements of work.

Use of Services

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit any harmful, threatening, or offensive content
• Attempt to gain unauthorized access to our systems or networks

Intellectual Property Rights

Our Property

All content, materials, and intellectual property on our website and in our services, including but not limited to text, graphics, logos, designs, software, and documentation, are owned by or licensed to DKL DESIGN and are protected by copyright, trademark, and other intellectual property laws.

Client Property

You retain all rights to any materials, data, or content you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering our services to you.

Work Product

Ownership of work product created under a service engagement will be specified in the applicable service agreement. Unless otherwise agreed in writing, custom work product created specifically for you will be transferred to you upon full payment.

Payment Terms

Payment terms for our services will be specified in individual service agreements or invoices. General payment terms include:

• Fees are due as specified in the service agreement or invoice
• Late payments may incur interest charges and late fees
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified
• You are responsible for all applicable taxes

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of services and continues for a period of five years unless otherwise specified in a separate confidentiality agreement.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is limited to a period of 90 days from service delivery unless otherwise specified in a service agreement.

Disclaimer

Except as expressly stated above, our services and website are provided on an as-is and as-available basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

To the maximum extent permitted by law, DKL DESIGN and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services, even if we have been advised of the possibility of such damages.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless DKL DESIGN and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or related to your use of our services, your violation of these terms, or your violation of any rights of another party.

Term and Termination

These terms remain in effect while you use our services. Either party may terminate a service engagement as specified in the applicable service agreement. We reserve the right to suspend or terminate your access to our services immediately, without notice, for any violation of these terms or for any other reason at our sole discretion.

Upon termination, you must cease all use of our services and return or destroy any confidential information or materials provided by us. Provisions that by their nature should survive termination shall survive, including but not limited to confidentiality, intellectual property, limitation of liability, and indemnification provisions.

Dispute Resolution

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute arising out of or relating to these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles, California. Each party shall bear its own costs and expenses, including attorneys' fees, unless the arbitrator determines otherwise.

Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of any material changes by posting the updated terms on our website with a new effective date. Your continued use of our services after such changes constitutes your acceptance of the modified terms. If you do not agree to the modified terms, you must discontinue use of our services.

General Provisions

Entire Agreement

These terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and DKL DESIGN regarding the use of our services and supersede all prior agreements and understandings.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these terms or any rights or obligations hereunder without our prior written consent. We may assign these terms without restriction.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
